1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Optional LTD ("we", "us", or "our") governing your use of the Company Map UK platform available at companymap.co.uk and related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of Service
Company Map UK provides an on-demand platform for accessing, visualizing, and exporting UK company data sourced from Companies House public records. The Service includes:
- Interactive map visualization of UK company locations
- Data export functionality (CSV format)
- Pay-as-you-go access model
3. Payment Terms
Pricing: Pay-as-you-go pricing is charged per company record exported, with volume-based discounts: 1-100 companies (5p each), 101-500 (3p each), 501-2,500 (2p each), 2,501+ (1p each). Minimum charge: 50p per transaction.
Payment Processing: All payments are processed securely through Stripe. Payment must be received before data export. You are responsible for any transaction fees, taxes, or charges. We do not store your payment card details.
Refunds: Due to the instant nature of data delivery, all sales are final. Refunds may be issued at our sole discretion in cases of technical errors, duplicate charges, or service failures. Refund requests must be submitted within 7 days to support@companymap.co.uk.
4. Acceptable Use Policy
You may use the Service for legitimate business purposes, including market research, lead generation, supplier discovery, business intelligence, and academic/journalistic research.
You agree NOT to: resell or redistribute data without written permission; use automated scraping or bots; reverse engineer the Service; use the Service for unlawful purposes (harassment, spam, fraud); attempt unauthorized access; interfere with the Service's operation; violate data protection laws (GDPR, Data Protection Act 2018); or exceed reasonable usage limits.
Violation of this policy may result in immediate termination of access without refund and may lead to legal action.
5. Data Accuracy and Sources
Our data is sourced from Companies House public records and other publicly available sources. While we strive for accuracy:
- Data is provided "as-is" without guarantees of completeness or accuracy
- Companies House data may be outdated or incorrect at the source
- Geocoding accuracy is approximately 97.2%, but errors may occur
- We update our database periodically (typically monthly), but cannot guarantee real-time accuracy
You are responsible for verifying the accuracy of data for your use case.
6. Intellectual Property Rights
6.1 Our Intellectual Property
The Service, including its design, code, features, branding, and functionality, is owned by Optional LTD and protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, or create derivative works from the Service without our written permission.
6.2 Data Ownership
Company data is sourced from Companies House public records and is subject to the Open Government Licence v3.0.
By using the Service, you agree to comply with the terms of this licence when using exported data.
7. Service Availability and Modifications
7.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance
- Technical issues or server failures
- Third-party service outages (e.g., Stripe, hosting providers)
- Force majeure events
7.2 Modifications
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.
8. LIMITATION OF LIABILITY AND WARRANTIES
8.1 NO WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability, fitness for a particular purpose, or non-infringement
- Accuracy, reliability, or completeness of data
- Uninterrupted, timely, secure, or error-free operation
- Results obtained from using the Service
YOU USE THE SERVICE AT YOUR OWN RISK.
8.2 LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIONAL LTD, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- BUSINESS INTERRUPTION OR LOSS OF GOODWILL
- ERRORS, INACCURACIES, OR OMISSIONS IN DATA
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- STATEMENTS OR CONDUCT OF THIRD PARTIES
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS LOWER.
8.3 Data Accuracy Disclaimer
We make no representations or warranties regarding the accuracy, currency, or completeness of data provided by the Service. Data is sourced from third-party public records and may contain errors.
You acknowledge that:
- Data may be outdated, incomplete, or incorrect
- Geocoding may place companies at incorrect locations
- Company information may have changed since our last data update
- You are solely responsible for verifying data accuracy for your purposes
8.4 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
9. Indemnification
You agree to indemnify, defend, and hold harmless Optional LTD, its directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your violation of applicable laws or regulations
- Any content you submit or transmit through the Service
10. Termination
10.1 Termination by You
You may stop using the Service at any time.
10.2 Termination by Us
We reserve the right to suspend or terminate your access to the Service immediately, without notice, if:
- You violate these Terms
- Your use poses a security risk or harms other users
- You engage in fraudulent or illegal activity
- Required by law
Termination does not entitle you to a refund for any fees already paid.
10.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. Sections 6 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), and 11 (Governing Law) survive termination.
11. Privacy, Governing Law & Dispute Resolution
Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to our data practices as described in the Privacy Policy.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating legal proceedings, you agree to contact us at support@companymap.co.uk to attempt informal resolution.
12. General Provisions
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Optional LTD regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision does not constitute a waiver. You may not assign these Terms without our written consent; we may assign our rights without restriction. These Terms do not confer rights on third parties (Contracts (Rights of Third Parties) Act 1999).
13. Changes to These Terms
We may modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.
